Historical Financial Information (HFI) Preparation & IFRS Conversion

A cornerstone of any prospectus or admission document is reliable historical financial information (often covering at least two to three years, depending on the market). The HFI for a listing on the Main Market must be presented under IFRS. Many private companies report under UK GAAP or other local GAAP, so a full conversion to IFRS is often required.

AIM now offers greater flexibility allowing companies to present the HFI under either IFRS or FRS 102. An Aquis listing continues to provide similar flexibility, permitting a choice between IFRS or UK GAAP.

We conduct a detailed gap analysis between your existing accounts and the relevant reporting framework (whether IFRS, FRS 102 or UK GAAP), identifying material differences in areas such as revenue recognition, lease accounting, development cost capitalisation, goodwill amortisation and share-based payments. We then prepare fully converted HFI with enhanced Plc-level disclosures, working to support the “true and fair” opinion from your reporting accountant.

This work is tailored to the specific exchange and our deep expertise in preparing these ensures they are prepared within budget and on time with the IPO timetable. We will sit down with you and outline your future company plans and advise on the most appropriate framework, whether transitioning to IFRS, or preparing under FRS 102, so you can make an informed choice that best supports your long-term objectives.

Financial Position and Prospects Procedures (FPPP)

Directors must demonstrate that appropriate systems, controls and processes are in place to support reliable financial reporting and market updates post-listing. The FPPP memo, signed off by the board and reviewed by the reporting accountant and nomad/sponsor, is a key requirement for AIM and Main Market admissions and strongly recommended for Aquis.

We help assess your current governance, risk management and financial controls, then work with management to strengthen them where needed.

Following an in-depth review and discussions with those responsible for the relevant controls, we prepare the FPPP memo, bridging any gaps and implementing the further controls and governance required as a Plc that a private company would not typically need. We work directly with the Board to ensure they fully understand their ongoing responsibilities and liaise with the reporting accountant (and other advisors) to achieve a smooth sign-off.

Working Capital Modelling & Assessment

Listing rules require confirmation that a company has sufficient working capital for at least 12 months from admission. This involves a detailed, integrated model incorporating forecasts, sensitivities and a “reasonable worst-case” scenario.

We review or build comprehensive working capital models tailored to your business’s size, sector and complexity. We stress-test assumptions around cash flows, liquidity and key risks (e.g., economic conditions or industry-specific factors), providing recommendations to give directors and advisers confidence in the headroom assessment.

Pro Forma Financial Information

Pro Forma statements illustrate the financial impact of a transaction (e.g., the IPO itself, acquisitions or debt restructuring) as if it had occurred at an earlier date. These are often required or highly beneficial for prospectuses/admission documents.

  • Assisting with the corporate structuring and assisting with implementing the same (including any conditions which need to be met);

Share Option Valuations

Share options and other equity-settled awards are a common way for listed and growth companies to incentivise and retain key talent. Valuing these awards correctly under IFRS 2 can be demanding, particularly when schemes include market-based performance conditions, complex vesting criteria or multiple tranches. Auditors are placing greater scrutiny on the models, assumptions and supporting documentation.

We deliver specialist fair value valuations using the most appropriate methodology for your scheme. For standard options we typically apply the Black-Scholes model; for awards with market conditions (such as TSR performance or share price hurdles) we use Monte Carlo simulations that properly reflect the probability of vesting outcomes.

Our valuations include clear, well-documented assumptions (volatility, expected life, risk-free rate, dividend yield, etc.), sensitivity analysis and full supporting reports suitable for board approval and audit review. We work directly with your auditors to respond to queries and secure timely sign-off.

Business Combinations and Purchase Price Allocations (PPA)

Acquisitions trigger important accounting requirements under IFRS 3 Business Combinations. A Purchase Price Allocation (PPA) is required to fairly reflect the transaction in your financial statements. The PPA allocates the total purchase consideration to the identifiable assets acquired and liabilities assumed at their fair values on the acquisition date, with any residual recorded as goodwill (or a bargain purchase gain).

We provide comprehensive end-to-end accounting support for business combinations. This includes preparing the full PPA report – identifying the acquirer, determining the acquisition date, valuing tangible and intangible assets (such as customer relationships, brands and technology) and calculating goodwill. Convertible Loan Notes (CLNs) & Complex Financial Instruments

In today’s financing environment, companies often turn to convertible loan notes (CLNs) and other hybrid instruments because of their flexibility for both issuers and investors. However, the accounting under IFRS 9 and IAS 32 can be highly complex.

We specialise in the accounting for CLNs and other compound financial instruments under IFRS 9 and IAS 32. We provide clear, straightforward explanations of the accounting treatment in plain English, so you fully understand the impact on your financial statements and future P&L.

We prepare the appropriate accounting journals for initial recognition of the CLN (including equity/liability bifurcation) and work with you to identify and prepare any remeasurement journals required in future reporting periods. This covers subsequent measurement, fair value assessments (under IFRS 13 where applicable), impairment reviews, and ongoing compliance. We work directly with your internal team and auditors to ensure smooth and timely sign-off.

We can also review draft CLN agreements upfront and advise on the accounting consequences before issuance, helping you avoid unexpected surprises later. Impairment Reviews & Valuations for Financial Reporting

Auditors are increasingly scrutinising impairment assessments, particularly for goodwill and intangible assets following acquisitions or in challenging market conditions. Under IAS 36, goodwill and indefinite-life intangibles must be tested for impairment at least annually. All other assets must be tested when there is any indication of impairment.

We support detailed impairment testing under IAS 36 for goodwill, intangible assets and other non-financial assets. This includes value-in-use calculations, fair value less costs of disposal assessments, sensitivity analysis and supporting documentation for board and auditor review.
